Agreement to Terms and Conditions
This Agreement becomes effective upon your initial use of the NextShip application.
Unlimited Access Software License with Termination Rights
The NextShip Software License facilitates the procurement of NextShip software through a single purchase, providing users with unrestricted and perpetual access to its comprehensive features. Tailored for individual creators, entrepreneurs, and small enterprises, NextShip empowers users to manage their shipping operations efficiently. This license entails a simple and adaptable arrangement, exempting users from recurring fees or subscriptions. However, it’s important to note that the licensor reserves the right to terminate the license without conditions or prerequisites. This termination provision enables the licensor to maintain control over software distribution and utilization. Opting for the NextShip Software License allows users to enjoy the benefits of the software while acknowledging the licensor’s unrestricted termination rights, providing flexibility and addressing potential unforeseen circumstances.
Refunds
Due to the inherent nature of digital products, the NextShip software cannot be refunded or exchanged once access is granted.
Disclaimer
NextShip does not guarantee that it will meet your requirements or that its operation will be uninterrupted or error-free. All express and implied warranties or conditions not explicitly stated in this Agreement (including, without limitation, loss of profits, loss or corruption of data, business interruption, or loss of contracts), to the extent permitted under applicable law, are excluded and expressly disclaimed. This Agreement does not affect your statutory rights.
Warranties and Limitation of Liability
NextShip does not provide any warranty, guarantee, or other assurance regarding the quality, fitness for purpose, or any other aspect of the software. NextShip shall not be liable to you for any representation (unless fraudulent), or any implied warranty, condition, or other term, or any duty at common law, for any loss of profit or any indirect, special, or consequential loss, damage, costs, expenses, or other claims (whether caused by NextShip’s negligence or the negligence of its servants or agents or otherwise) arising out of or in connection with the provision of any goods or services by NextShip. NextShip shall not be liable or deemed to be in breach of contract due to any delay in performing, or failure to perform, any of its obligations if the delay or failure was due to any cause beyond its reasonable control. Notwithstanding any contrary clauses in this Agreement, in the event that NextShip is found liable to you for breach of this Agreement, you agree that NextShip’s liability is limited to the amount actually paid by you for your services or software, as calculated in reliance upon this clause. You hereby release NextShip from any and all obligations, liabilities, and claims in excess of this limitation.
Responsibilities
NextShip bears no responsibility for the actions taken with user-generated content.
General Terms and Law
This Agreement is governed by the laws of Canada. You acknowledge that your use of these services does not create any joint venture, partnership, employment, or agency relationship between you and NextShip. You agree not to represent yourself as a representative, agent, or employee of NextShip. You acknowledge that NextShip will not be liable due to any representation, act, or omission to act by you.
